Agreement to Terms

Welcome to Simple Rizz. These Terms of Service ("Terms") constitute a legally binding agreement between you and Seungho Choi ("Simple Rizz," "we," "us," or "our") governing your access to and use of the Simple Rizz mobile application (the "App") and related services (collectively, the "Services").

By creating an account, downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

These Terms apply to all users of the App, including without limitation users who are browsers, contributors of content, or registered account holders.

Eligibility

You must be at least 13 years old to use Simple Rizz. By using the Services, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Services under applicable law
• All information you provide is accurate, current, and complete

If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that you have reviewed these Terms with your parent or legal guardian and they have agreed to these Terms on your behalf.

We reserve the right to request proof of age at any time. Failure to provide such proof may result in account suspension or termination.

Account Registration and Security

Account Creation:

To access certain features of the App, you must create an account. You may register using:

• Email and password
• Sign In with Apple
• Other authentication methods we may provide

Account Responsibilities:

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information is accurate and up-to-date

Account Security:

You agree to:

• Choose a strong, unique password
• Not share your account credentials with others
• Not allow others to access your account
• Log out of your account when using shared devices

We are not liable for any loss or damage arising from your failure to protect your account credentials.

One Account Per Person:

You may only create and maintain one account. Creating multiple accounts may result in suspension or termination of all accounts.

Acceptable Use

Permitted Use:

Simple Rizz is designed to help you improve your social confidence and communication skills through daily reflection, AI-powered coaching, and educational content. You agree to use the Services only for their intended purpose.

Prohibited Conduct:

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Impersonate any person or entity or falsely state your affiliation with any person or entity
• Harass, abuse, threaten, or harm others
• Post or transmit content that is hateful, offensive, discriminatory, or promotes violence
• Attempt to gain unauthorized access to the Services or other users' accounts
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use automated systems (bots, scrapers, crawlers) to access the Services
• Reverse engineer, decompile, or disassemble any portion of the Services
• Remove, circumvent, or modify any security features or technological measures
• Use the Services to collect personal information about other users
• Transmit viruses, malware, or other harmful code
• Violate or infringe upon the intellectual property rights of others
• Use the Services in any way that could damage, disable, overburden, or impair our servers
• Engage in any activity that interferes with other users' ability to use the Services
• Use the Services to promote or advertise third-party products or services without authorization
• Sell, rent, lease, or otherwise commercialize access to the Services without permission

User Content Standards:

While journal entries are private and intended for personal reflection and AI coaching, you agree that your content will not:

• Contain illegal content or promote illegal activities
• Violate any third-party rights
• Contain malicious code or harmful materials
• Be used to harass, stalk, or harm others

We reserve the right to review content if we suspect violation of these Terms or applicable law.

User Content and Intellectual Property

Your Content:

You retain ownership of all content you create and submit to the App, including journal entries, reflections, and any other materials ("User Content").

License to Us:

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, and store your User Content solely for the purposes of:

• Providing the Services to you
• Generating AI-powered coaching and feedback
• Improving our AI algorithms and Services
• Analyzing usage patterns (in anonymized, aggregated form)

This license continues for a commercially reasonable time after you delete your content to allow for backup deletion and system processing.

Our Intellectual Property:

The Services, including all content, features, functionality, software, source code, algorithms, user interface, design, graphics, text, and other materials (excluding User Content) are owned by Simple Rizz or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Services
• Create derivative works from the Services
• Use the Services for commercial purposes without written permission
• Extract or attempt to extract the source code
• Use our trademarks, logos, or branding without permission

AI-Generated Content and Coaching

AI Coaching Disclaimer:

Simple Rizz uses artificial intelligence (OpenAI's GPT-4) to analyze your journal entries and provide personalized coaching feedback. You acknowledge and agree that:

• AI-generated coaching is for educational and informational purposes only
• AI feedback is not a substitute for professional advice (psychological, medical, legal, or otherwise)
• AI responses are generated by algorithms and may contain errors, inaccuracies, or inappropriate suggestions
• You use AI-generated coaching at your own risk and discretion
• We do not guarantee the accuracy, completeness, or usefulness of AI-generated content
• AI coaching should not be relied upon for critical decisions

No Professional Relationship:

The AI coaching provided through Simple Rizz does not create a therapist-client, counselor-client, coach-client, or any other professional relationship. If you need professional help, please consult a licensed professional.

Human Review:

While we strive to provide helpful AI coaching, we do not manually review all AI-generated responses. If you receive inappropriate or concerning AI feedback, please report it to us at schowy1@gmail.com.

Video Tutorials and Educational Content

The video tutorials and educational content provided through the Services are for informational and educational purposes only. This content represents general guidance and may not be suitable for your specific situation.

You acknowledge that:

• Educational content is not personalized advice
• Results may vary based on individual circumstances
• Implementation of techniques is at your own discretion and risk
• We are not responsible for outcomes resulting from following tutorial content

Subscription and Payment Terms

Current Model:

Simple Rizz is currently offered as a free service. We reserve the right to introduce paid features, subscriptions, or in-app purchases in the future.

Future Paid Services:

If we introduce paid features:

• You will be notified in advance
• Clear pricing information will be provided
• You will need to opt-in to any paid services
• Additional payment terms will apply
• Subscriptions will auto-renew unless canceled
• Refund policies will be clearly stated

Free Trial Periods:

If we offer free trials:

• Trial terms will be clearly disclosed
• You may cancel before the trial ends to avoid charges
• Billing will begin automatically after trial expiration unless canceled

Apple In-App Purchase:

If purchases are made through Apple's App Store:

• Apple's payment terms and policies apply
• Subscriptions are managed through your Apple ID
• Refund requests must be made through Apple
• We do not have access to your payment information

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• ACCURACY OF DATA
• QUIET ENJOYMENT

WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• Results obtained from the Services will be accurate or reliable
• AI-generated coaching will meet your expectations or produce specific outcomes

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. ANY CONTENT DOWNLOADED OR OBTAINED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE RIZZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or data
• Loss of use or opportunity
• Business interruption
• Personal injury or property damage
• Emotional distress

ARISING OUT OF OR RELATED TO:

• Your use or inability to use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access to or alteration of your data
• AI-generated coaching or recommendations
• Implementation of techniques learned through the Services
• Any other matter relating to the Services

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless Simple Rizz, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content or any content you submit
• Your violation of any applicable laws or regulations
• Any actions taken using your account, whether authorized or unauthorized

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services (collectively, "Third-Party Services") that are not owned or controlled by us.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any Third-Party Services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any Third-Party Services.

Third-Party Services referenced in the App include:

• OpenAI (AI processing)
• Mixpanel (analytics)
• Vimeo (video hosting)
• Apple (authentication and payment processing)

Your interactions with Third-Party Services are governed by their respective terms and privacy policies. We encourage you to review them before use.

Termination

Termination by You:

You may terminate your account at any time by:

• Using the "Delete Account" feature in app settings
• Contacting us at schowy1@gmail.com

Upon termination, your account and all associated data will be deleted within 30 days, subject to our data retention policies.

Termination by Us:

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Technical or security reasons
• Discontinuation of the Services

Effect of Termination:

Upon termination:

• Your right to access and use the Services immediately ceases
• Your User Content may be deleted (unless legally required to retain)
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

No Refunds:

If paid features are introduced, termination does not entitle you to any refund of fees already paid, except as required by law.

Modifications to Services and Terms

Service Modifications:

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Terms Modifications:

We may revise these Terms from time to time. Changes will be effective upon posting of the revised Terms, with the "Last Updated" date modified accordingly.

For material changes, we will:

• Provide notice through the App, email, or other reasonable means
• Give you an opportunity to review the updated Terms
• Require your acceptance for continued use (for material changes)

Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

Dispute Resolution and Governing Law

Governing Law:

These Terms shall be governed by and construed in accordance with the laws of South Korea, without regard to its conflict of law provisions.

Informal Resolution:

Before filing a formal claim, you agree to contact us at schowy1@gmail.com to attempt to resolve any dispute informally. We will attempt to resolve disputes in good faith within 30 days.

Arbitration Agreement:

If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the Korean Commercial Arbitration Board.

The arbitration shall be conducted in Seoul, South Korea, in the English or Korean language. The arbitrator's decision shall be final and binding.

Exceptions to Arbitration:

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

Class Action Waiver:

You agree that disputes must be brought on an individual basis only, and not as part of any class, consolidated, or representative action. There shall be no right or authority for any claims to be arbitrated or litigated on a class action basis.

Jurisdiction:

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Seoul, South Korea.

General Provisions

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simple Rizz regarding the Services and supersede all prior agreements and understandings.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver:

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment:

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

No Third-Party Beneficiaries:

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Simple Rizz.

Force Majeure:

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, or internet/telecommunications failures.

Relationship:

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Simple Rizz.

Notices:

We may provide notices to you via email, in-app notifications, or by posting on the Services. You consent to receive communications electronically. Notices to us should be sent to schowy1@gmail.com or our mailing address below.

Headings:

Section headings in these Terms are for convenience only and shall not affect their interpretation.

Language:

These Terms may be translated into other languages for convenience. In the event of any conflict, the English version shall prevail.
